1. RECITALS

Definition of Terms Used in this Agreement :

1. "The Company" is Auto Selection (Wholesale)
2. "The Web-Site" is a collection of pages and interactive programs and data accessible only through the internet and referenced by the Domain Names: sdaswholesale.sg
3. "Member" is a registered participant in the Auction Process conducted via this Website, who accepts, and agrees to be bound by these terms and conditions.
4. "Buyer" is a Member who has offered the bid that is accepted by the Company for a vehicle advertised for auction on the website.
5. "Vehicle" is the motor vehicle which is registered in Singapore and put up by the registered owner for auction on the Company’s website.
6. "Tender List" is the list of Vehicles that are available for bidding.

2. GENERAL

1. This Agreement sets out the Terms & Conditions governing the use of this sdaswholesale.sg site. The Website is intended for the sale of Vehicle to traders only. Please refer to our Vehicle Sales Agreement (VSAT) for details.
2. This sdaswholesale.sg site is the property of the Company.
3. All visitors and advertisers must agree to abide by the Terms & Conditions when accessing or using any services provided on this Website.
4. By clicking on the "proceed" button, you shall agree to abide by these Terms & Conditions and all polices, guidelines incorporated by reference.
5. Please review the Terms & Conditions carefully before using the site. Before registering for and using the services, you agree to abide by all the Terms and Conditions of this agreement and all polices, guidelines incorporated by reference.
6. The Company reserves the right to change any of the Terms & Conditions contained in this Agreement or any polices or guidelines governing the site or services at any time and in its sole discretion. Any changes will be effective upon posting of the revisions on the site. You are responsible for reviewing the notice and any applicable changes. Changes to reference policies and guidelines maybe posted without notice to you. You can review the most current version of this Agreement at any time during office hours at 280 Kampong Arang Road Singapore 438180.
7. Your continued usage of this site and the services following the Company’s posting of any changes will constitute your acceptance of such changes or modifications. If you do not agree to any changes to this Agreement, do not continue to use the services or this site.

3. REPRESENTATION/WARRANTIES

1. This Website offers sale of goods by way of closed bidding. The products on sale are offered by the Company.
2. The Company has made every effort to make sure that the pictures shown are an accurate representation of the actual items. However, the Company cannot guarantee that the colour, size and design will be exactly the same as you see on your computer screen. There may be slight variations due to the fact that the colour depends on the projection of your computer screen. Therefore due to the limitations beyond our control, we are not responsible for any differences or non-capacity of the goods delivered to you as compared to the images of the goods as shown in our website.
3. The Company does not undertake any warranty and gives no representation in respect of the Vehicle (s). All warranties and representations whether expressed or implied including warranties of merchantability, satisfactory quality and fitness for purpose are expressly excluded.

4. REGISTRATION TERMS

1. The Buyer must register with the Company before the Buyer is able to bid on the Website.
2. The Company will carry out credit worthiness checks on prospective Members and will notify applicants by email.
3. Successful applicants (new Members) will be notified via email within three (3) working days. Successful applicants will also be given a Login User name and a password to use with the system.
4. The Members undertake to conduct business on the Website within these Terms and Conditions and within the rules and regulations for use which are contained on the Website and which may change from time to time.
5. The Company reserves the right to suspend operation of a Member’s Login User Name without prior notice, and without giving any reason for so doing, if the Member is considered to be in breach of these terms and conditions, or if the activities of the Member are held to be a risk to the security or the economic viability of the Website and the Company.
6. If at any time the Member believes that their User Name or Password has become known to a third party, the Member must inform the Company immediately.

5. REGISTRATION DETAILS

1. The Members who are a corporate entity must provide the name and address of the corporate entity which they represent, together with the position held, the registered company’s number, registered address, number and the same details for any company of which the Member company is a trading subsidiary.
2. The Member must supply details of the correct address for the Company to send their invoices to, if different from the details provided during registration.
3. At all times the Member undertakes to maintain sufficient funds to cover all trading expenses and ancillary costs associated with taking part in auctions conducted on this Website.
4. The Member must be a duly appointed officer of the company he represents, empowered to buy the Vehicle on behalf of that company.
5. The Member must have the authority to form legally binding contracts under the applicable law. If you do not qualify, for example, because you are a minor, you may not register to use this site.

6. THE AUCTION PROCESS

1. The Tender List is sent by email to the Member‘s email address provided during registration. For a minimum period of three (3) days and a maximum period of seven (7) days, as indicated, the Vehicle will be available to be viewed on the Website and the Members may register their bids. Please refer to the Tender List for details for the viewing times, tender closing times and location for viewing of the Vehicles.
2. As each Bid is registered, an e-mail response is sent automatically from the Website to the Bidder.
3. The Company at its sole discretion, may accept the Bid, which may not be the highest Bid.
4. The Company will notify the Buyer of the Vehicle details of the successful bid(s) and will then raise a Vehicle Sales Agreement (VSAT) followed by an invoice for the Buyer of the Vehicle(s).
5. The Company reserves the right not to accept a bid from a Member, at any time and may not be required to furnish a reason for taking this action. The Company reserves the right to exclude a Member from taking part in the Auction by suspending their User Name and Password Rights without prior notice.
6. Tender may be withdrawn or extended without notice.

7. GENERAL TERMS AND CONDITIONS APPLICABLE

1. If any provision of these Term & Conditions is held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions of these Terms & Conditions and the remainder of the provision in question shall not be affected.
2. No waiver by the Company of any breach of these Terms & Conditions shall be considered as a waiver of any subsequent breach of the same or any other provision.
3. These Terms & Conditions shall be governed by the laws of Singapore and the Buyer and the Company agrees to submit to the non-exclusive jurisdiction of the Singapore courts.
4. Where the context so admits any reference in the Terms & Conditions to the masculine gender shall include the feminine, plural and neutral.
5. The headings in these Terms & Conditions are for convenience only and shall not affect their interpretation.
6. These Terms & Conditions are intended to give clear information on your rights, as well as Company’s terms and conditions of business.
7. The Company may amend these Terms & Conditions at any time by amending our Website. All amended. Terms & Conditions shall automatically be effective upon posting on our Website.
8. All Terms & Conditions and warranties express or implied by statute common law or otherwise imposing any liability whatsoever on the Company as regards any Vehicle, the sale of which is effected by the Company via its Website to a purchaser who purchases in the course of his business are hereby excluded including but without limitation loss of profits, loss of sales, loss of opportunity, loss of information, loss of anticipated savings, lost or wasted time, or special, indirect or consequential damages arising out of or in connection with these Terms & Conditions.
9. The Price of the Vehicle purchased via the Website shall be the Bid accepted at the time of purchase, by the Company, together with GST if applicable and any other relevant tax thereon at prevailing rates from time to time (unless stated otherwise).

8. THE BUYER AGREES

1. The Buyer has read and agrees to be bound by the Terms & Conditions and will abide by them.
2. That ownership of the vehicle purchased via the Website does not pass to the Buyer from the Company until the full purchase price has been paid to the Company, and the Auction Fees (if applicable) have been paid to the Company.
3. If successful in the bidding of the Vehicle(s), the Buyer agrees to purchase the vehicle(s) on a “AS IS, WHERE IS” basis. The Buyer acknowledges that the Vehicle(s) is/are sold to the Buyer WITHOUT any warranty or representation whatsoever as to merchantability or fitness for any purpose or performance, satisfactory quality, or any warranty that the Vehicle shall be free from defect in material and/or workmanship.
4. The Buyer agrees that the bids received and the closing price will not be disclosed and that there is no obligation for the Company to sell to the highest bidder. The Company’s decision on the successful bidder is final.
5. The Buyer accepts that the tender may be withdrawn or extended without notice.
6. The Buyer agrees to pay in full and collect the Vehicle(s) within one (1) day upon notification of successful tender. In the event the Vehicle(s) is/are to be collected at a later date, a 10% deposit or $1000 (whichever is higher) must be paid within one (1) working day of notification of successful tender.
7. The Vehicle Sales Agreement (VSAT) must be finalized (fully paid and Vehicle(s) collected) within FIVE (5) days of the tender closing date.
8. In the event the sale is for the Vehicle body only, the Buyer acknowledges that the Vehicle may have been deregistered. The deregistered Vehicle is to be put on tow when collected from the Company’s premises.
9. In the event that a Vehicle is sold to the Buyer for the Vehicle body only, the Buyer agrees that the Buyer shall (if the Vehicle is still registered at the time of delivery to the Buyer), be entitled to de-register the Vehicle any time after the expiry of THREE (3) days from the delivery of the Vehicle to the Buyer.
10. In the event that the Buyer purchases the Vehicle for the Vehicle body only, the Company shall retain the title in the Vehicle until the Price and any and all such other sums as may be owing by the Buyer to the Vendor shall have been paid in full and the Company is able to utilize the PARF and/or COE rebates in respect of the Vehicle.
11. The Registration Number of the Vehicle shall remain the property of the Company and may only be open for transfer at the discretion of the Company.
12. The Buyer understands that the Vehicle(s) is/ are purchased and sold in the same condition as they are received by the Company. The Company gives no undertaking as to the condition of these Vehicles. The Buyer agrees to buy these vehicles at its own risk and shall not hold the Company liable for any fault or defect of whatsoever nature in the Vehicles.
13. The Company is not obliged to carry out any mechanical works on the Vehicles prior to auctioning process and therefore cannot provide any warranty as to the fitness or condition of any Vehicle for any purpose.
14. The Buyer agrees to be bound by all the Terms and Conditions as set out here and the Terms and Conditions of the Vehicle Sale Agreement (VSAT).
